Mr. Alvarez concentrates his practice in Corporate Law, specialized in the Capital Markets, Securities, M&A, Oil and Gas, Cross Border and International Litigation and Arbitration, Entrepreneurship, Private Equity and Venture Capital Investments.
He is member of the roster of mediators and arbitrators of the Arbitration Center of the Caracas Chamber of Commerce. Mr. Alvarez is an active Law Professor at Universidad Catolica Andres Bello (UCAB), where he teaches Contracts Law. He has also been Professor with the IESA MBA, Caracas.
Experience in the U.S. and in the American Region
- Has experience in cross border corporate finance.
- Has worked in capital raising (mainly by non-US corporations) in the United States and outside the United States. He has been directly involved in the issuance of ADS/ADRS, Registered and under Rule 144A; also in operations or emissions under Regulation's'.
- Has worked in the registration of securities of various countries, including the United States.
- Has worked in developing business strategies in preparation for initial public offerings to the markets directly with corporate finance departments of both issuers and entities of the financial sector involved in the process.
- He also worked in fundraising through the issuance of convertible bonds and non-convertibles.
- Has excented extensive due diligence and writing the Placement Memoranda and Prospectuses.
- Has been involved in issuance of Mexican companies: airlines (operating in excess of $ 50 million), bottling companies (above U.S. $ 20 million), and financial institutions (financial conglomerates); in Colombia: supermarkets (over U.S. $ 100 Million), dairy producers (over $ 30 Million), supermarkets and hypermarkets in Chile (over 30 Million); in Argentina: power and utility companies over U.S. $ 200 million).
